This Materials Use Agreement (“Agreement”) sets forth the terms and conditions under which Fast2eat (“Company”) may use photos and videos uploaded by users (“Users”) to the Fast2eat website (“Website”). By uploading photos and videos to Fast2eat, Users agree to be bound by the terms of this Agreement.
By uploading any photos or videos (“Materials”) to the Fast2eat platform (the “Platform”), you agree to the terms and conditions outlined in this Materials Use Agreement. This agreement clarifies how Fast2eat and its affiliates may use and distribute the Materials provided by you.
1. Ownership and License:
1.1. Ownership:
You acknowledge that you own or have obtained the necessary rights and permissions to the Materials you upload to the Platform. You retain all ownership rights to the Materials. Users retain ownership of all photos and videos they upload to Fast2eat. However, Users grant Fast2eat a non-exclusive, transferable, sub-licensable, royalty-free license to use, reproduce, modify, distribute, publicly display, and create derivative works from their photos and videos.
1.2. License
By uploading the Materials, you grant Fast2eat and its affiliates a non-exclusive, worldwide, royalty-free, and transferable license to use, reproduce, distribute, modify, adapt, display, and perform the Materials for the purposes of operating, promoting, and improving the Platform. This license extends to any derivative works created from the Materials, including any edits, modifications, or other alterations made by Fast2eat or its affiliates.
2. Permitted Use and Distribution:
2.1. Display
Fast2eat can display the Materials on the Fast2eat platform, including the website and mobile applications, allowing other users to view and interact with them. It’s important to note that Fast2eat will only use the Materials within the context of its operations and the promotion of the Fast2eat platform.
2.2. Promotion:
Fast2eat may use the Materials for promotional purposes, including featuring them on its social media channels, website, marketing materials, advertisements, or other promotional mediums, both online and offline. Fast2eat may use the Materials for promotional purposes, including but not limited to displaying, featuring, or promoting the Materials on the Platform or on Fast2eat’s social media channels, website, marketing materials, advertisements, or other promotional mediums. Fast2eat may display the Materials on the Platform, including on recipe pages, blog posts, social media platforms, or other promotional materials related to Fast2eat. This use is solely for promoting the Platform and its associated content.
2.3. Modification
Fast2eat may modify the Materials for the purpose of ensuring compatibility with the Platform, enhancing its visual quality, or optimizing its display across different devices or mediums. Fast2eat may make edits, modifications, or enhancements to the Materials for the purpose of optimizing their display or fitting them into the layout of the Platform or promotional materials. However, Fast2eat will not materially alter the essence or core message of the Materials without obtaining explicit permission from you.
2.4. Distribution
Fast2eat may distribute the Materials on third-party platforms or websites, solely for the purpose of promoting Fast2eat and its associated content. This distribution may include sharing the Materials through social media channels, on other websites, third-party platforms, email newsletters, or other forms of digital or print media.
2.5. Derivative Works
Fast2eat has the right to create derivative works based on the Materials. This may involve modifying, editing, or incorporating the Materials into other content to enhance their visual quality or optimize their display.
3. Attribution:
Fast2eat will make reasonable efforts to provide proper attribution for the Materials whenever they are used on the Platform or in promotional materials. While Fast2eat will make reasonable efforts to attribute the Materials to you whenever they are used, it is not obligated to provide any form of attribution. However, Fast2eat cannot guarantee that third-party users or platforms will always provide proper attribution when sharing the Materials. You acknowledge and accept that third parties may access and use the Materials in accordance with their own terms and conditions.
4. Responsibility:
4.1. Accuracy:
You are solely responsible for ensuring the accuracy and legality of the Materials you upload. Fast2eat does not assume any liability for any copyright infringement, unauthorized use, or inaccuracies contained in the Materials.
4.2. Indemnification:
You agree to indemnify and hold Fast2eat and its affiliates harmless from any claims, damages, or legal actions arising from the use of the Materials in violation of this agreement or any applicable laws.
5. Termination:
You may request the removal of your Materials from the Platform by contacting Fast2eat. However, Fast2eat may retain and continue using the Materials that have already been distributed or shared prior to your request. Fast2eat also reserves the right to remove or disable access to any Materials that violate this agreement or any applicable laws.
6. Governing Law and Jurisdiction:
This Materials Use Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where Fast2eat is based. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
By uploading your Materials to Fast2eat, you acknowledge that you have read and understood this Materials Use Agreement and agree to be bound by its terms and conditions.
